Management Consulting
Responsibilities
Prepare and review SEC filings and public company disclosures
Advise clients on securities compliance, regulatory matters, and corporate governance
Handle complex M&A and joint venture transactions involving U.S. and international entities
Draft and negotiate commercial contracts and transactional documents
Collaborate with legal teams across the U.S. and Europe, requiring occasional travel
Qualification
Required
Minimum of four years of experience in corporate and securities law, with a strong emphasis on public company representation
Deep understanding of the Securities Exchange Act of 1934 and the Securities Act of 1933
Experience handling SEC filings, including 10-Ks, 10-Qs, and other required disclosures
Demonstrated ability to manage M&A, joint ventures, and commercial transactions involving U.S. privately held companies
Juris Doctor and admission to the New York Bar
Native Italian speaker
Willingness to travel between the U.S. and Europe
Preferred
Working knowledge of additional European languages is a plus
