Responsibilities

Assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements

Reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms

Structuring and drafting governing documents pertaining to private equity fund management companies and general partners

Required

4 - 6 years of significant experience in private equity fund formation and related matters

Experience in reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms

Experience in structuring and drafting governing documents pertaining to private equity fund management companies and general partners

Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act

All candidates must be admitted to the state bar of their office location

Preferred

Experience at a large law firm or, in special circumstances, an in-house setting

Experience with private equity secondary transactions

Experience with GP-led restructurings
