The role involves providing legal guidance on corporate transactions, including M&A and corporate finance, while collaborating with various business units to ensure effective legal support.

Responsibilities

Provide legal advice and guidance to the Company’s corporate development functions with respect to insurance and investment management M&A transactions, both domestic and in foreign jurisdictions

Support the Company’s business units in all aspects of corporate finance transactions, including syndicated credit facilities, surplus notes offerings and the Company’s medium term notes and commercial paper programs

Responsibilities include:

Due diligence

Drafting and review of transaction documents, including confidentiality agreements, engagement letters, term sheets, letters of intent, definitive agreements, offering memoranda and disclosure documents

Managing regulatory approval processes

Closing preparations and post-closing matters

Coordinating with internal business units and subject matter experts

Managing outside counsel

Advising and assisting the head of Corporate Transactions

Provide advice on various legal and commercial matters

Qualification

Required

JD with a minimum of three (3) years' experience as a corporate attorney, including legal due diligence and familiarity with agreements for corporate finance and M&A transactions, ideally in the financial services industry

Familiarity with, and willingness to learn, laws and regulations relating to insurance companies, investment managers and related transactions

Excellent writing and communication skills

Ability to interact with a broad range of internal and external personnel with diverse expertise and experience and to function independently on appropriate projects

A growth mindset, commitment to continuous improvement, and willingness to embrace new technologies to advance legal and business objectives
