Responsibilities

Support, collaborate with, and advise Business Units, Sales, and internal support teams on compliance and contract matters, including draft, redline, and negotiate commercial and government contracts
Review and draft data rights assertions
Provide business-oriented guidance and impact assessments resulting from regulatory and administrative changes
Advise and train on compliance with federal contractor obligations, such as cybersecurity requirements (e.g., NIST 800-171, CMMC), U.S. National Defense Authorization Act, Buy American Act, Trade Agreements Act, counterfeit parts regulations, and other sourcing restrictions
Develop, update, and implement policies, processes, guidelines, and tools to improve contract and compliance management

Required

U.S. citizen
Juris doctorate from an ABA-accredited law school and license to practice law in a U.S. jurisdiction
9+ years as an attorney or 9+ years combined as an attorney plus government contracting experience
Strong working knowledge of the U.S. government contracting regulations (e.g., FAR, DFARS, cost accounting standards, cost and pricing data, commerciality, false claims, and representations and certifications)
Strong working knowledge of trade controls and IP protection principles relating to patents, technical data, software
Proven contract negotiation and redlining skills
Strong ability to explain complex contract and regulatory matters
Excellent writing, communication, and analytical skills
Proactive self-starter and problem solver with sound judgment; able to work independently and collaboratively
Strong interpersonal skills and professionalism
Effective time management, attention to detail; process- and improvement- oriented
Excellent proficiency in Microsoft Word and PowerPoint
Ability to obtain U.S. government security clearance
Willingness to travel occasionally (domestic and international)

Preferred

Prior experience in a law firm focused on U.S. government contracting or related regulations
Prior experience in the semiconductor industry, aerospace, defense, high technology, or manufacturing
Prior experience managing a legal or contracts team
Active U.S. government security clearance
