Senior Corporate Counsel/Associate General Counsel
Arctic Slope Regional Corporation (ASRC) is a private corporation owned by Iñupiaq shareholders, recognized for its growth and commitment to its community. The Senior Corporate Counsel/Associate General Counsel position is a critical legal role that involves managing corporate governance, compliance, and litigation while supporting business objectives across diverse sectors.
Responsibilities
Draft, review, and negotiate commercial agreements with vendors, customers, and partners
Advise on best practices for corporate governance, board matters, governance committees, and legal structure
Proactive, strategic litigation management and coordination in partnership with outside litigation counsel
Support operating companies and internal functions on compliance and risk management, including the identification, assessment, and practical advice and counsel on legal risks associated with business activities and compliance with all applicable laws and regulations
Support due diligence, structuring, and execution of acquisition and divestiture strategy
Create, implement, and train employees on legal-related policies and procedures
Strong communication and collaboration with operating subsidiaries and support services to achieve business objectives
Stay current on evolving laws and provide timely advice and counsel
Proven ability to manage multiple projects simultaneously
Assist with other legal department objectives
Other duties will be assigned to this position as needed
Qualification
Required
J.D. degree (or foreign equivalent) and admitted to at least one U.S. state bar and in good standing
A minimum of 5+ years of large law firm experience for Senior Corporate Counsel (minimum 10+ years of total, combined legal experience for Associate General Counsel)
Strong subject matter, partner-level expertise in at least one of the following primary areas: Commercial Contracting, Litigation, Mergers & Acquisitions, Financial Services, or Construction Law
Excellent negotiation, communication, analytical, and problem-solving skills; strong business judgment
Exceptional written and verbal communication skills
Valid driver's license required
