Energy Project Finance Associate Attorney (US)
Sheppard Mullin is a global AmLaw 50 full-service law firm with over 1,200 attorneys across 16 offices worldwide. They are seeking two mid-level project finance attorneys to join their Energy, Infrastructure and Project Finance team, focusing on representing clients in renewable energy projects and managing various financing transactions.

Responsibilities
Represent clients in a growing industry and have substantive responsibility with client contact working on a variety of transactions regarding the representation of sponsors and financing parties in connection with the development, acquisition, and financing of renewable energy projects
Project finance work in the energy industry with a strong emphasis on debt work (construction debt, term debt, equipment supply loans)
Project finance work in the energy industry with a strong emphasis on tax equity work (tax equity partnerships and leasing structures)
Experience and strong familiarity with drafting and negotiating debt term sheets, loan agreements, security documents, consents to collateral assignment, related guarantees and various other ancillary debt documents
Experience and strong familiarity with drafting and negotiating term sheets, equity capital contribution agreements, partnership agreements, lease documents, related guarantees, estoppels, and other ancillary equity documents
At least some familiarity with project development and project operation contracts such as EPC Contracts, Supply Agreements, Offtake Agreements, O&M Agreements
Qualification
Required
3-5 years of experience in the energy industry at a large law firm with a national reputation or comparable in-house counsel role
Excellent oral communication, writing, research and analytical skills
Ability to manage junior associates on a transaction, manage the process of a transaction, take ownership of projects, work effectively as a member of a team and communicate directly with clients and third-party advisors regularly
Strong academic credentials from top-tier law school
Project finance work in the energy industry with a strong emphasis on debt work (construction debt, term debt, equipment supply loans)
Project finance work in the energy industry with a strong emphasis on tax equity work (tax equity partnerships and leasing structures)
