Responsibilities

Collaborate with the Chief Strategy Officer to facilitate execution of the Strategic Plan
Support Strategic Plan updates, as needed, but no less than once per year
Sustain a pipeline of acquisition targets that achieves Strategic Plan targets
Evaluate acquisition targets for strategic fit, culture, legal compliance, and regulatory implications
Support due diligence workstreams to evaluate corporate structures, contract compliance, employment law compliance, finance/accounting/tax concerns, regulatory compliance, and applicable standards or certifications (e.g., CMMC)
Work closely with external and internal counsel to structure deals in alignment with U.S. Government contracting rules (e.g., FAR, DFARS, etc.)
Evaluate target companies’ strategic value and legal exposure related to past performances, protests, conflicts of interest, small business set-asides, subcontractor obligations, and any other form of restricted revenue engagement
Review term sheets, letters of intent, NDAs, and integration clauses within definitive agreements
Anticipate and mitigate legal risks during integration planning, including, but not limited to, liabilities tied to legacy contracts, compliance audits, and employee classifications
Lead change management through the entire integration lifecycle and help internal business partners drive successful results within this process
Partner with legal and contracts teams to manage novation of government contracts and subcontracts
Support implementation of compliance frameworks post-close (e.g., ethics training, cybersecurity certifications, supplier vetting)
Ensure any post-close restructuring or rebranding efforts comply with contractual and regulatory constraints (e.g., SAM.gov updates, UEID transitions, etc.)
Present strategic recommendations that integrate sound business thinking and interfunctional awareness to the Board, C-Suite, and Executive Leadership Teams
Champion a strategically thoughtful, tactically informed, risk-mitigated, economic, and legally sound approach to strategy execution

Required

Bachelor's degree from an accredited college or university
7+ years of directly related experience in strategy and corporate development
Experience should also include managerial and advisory roles with significant expertise in M&A planning, due diligence, and integration
Must be comfortable with travel and working onsite in the St. Louis Metro East/Scott AFB, IL area about once per month, depending on business needs
Must be eligible to obtain a Secret clearance, granted by the US Government, which requires US citizenship

Preferred

JD and/or MBA is strongly preferred
Industry experience in investment banking, private equity, management consulting, defense, logistics, and/or government professional services is highly desirable
