Corporate Counsel
Larson Maddox is seeking a Corporate Counsel to join their expanding in-house legal team. This role involves managing a range of corporate, commercial, and transactional matters, providing legal guidance, and supporting various business functions with practical legal advice.
Responsibilities
Manage a range of corporate, commercial, and transactional matters, including:
Drafting, reviewing, and negotiating agreements (e.g., NDAs, vendor/supplier contracts, SaaS and service agreements)
Supporting corporate governance and entity maintenance
Contributing to policy development and improvements to internal processes
Assisting with mergers, acquisitions, financings, and other strategic initiatives
Provide legal guidance on corporate governance, compliance, and contract management
Partner with Finance, HR, Operations, IT, and other functions to support business objectives with practical legal advice
Prioritize and manage multiple projects in a fast‑paced, evolving environment
Coordinate with outside counsel and oversee related workflows and documentation
Enhance legal operations by improving templates, workflows, and scalable processes
Maintain organized records and support contract lifecycle management
Qualification
Required
Mid-level transactional attorney
Strong analytical skills
Sound judgment
Ability to communicate clearly and effectively
Solid foundation in corporate or transactional law
Experience in managing corporate, commercial, and transactional matters
Experience in drafting, reviewing, and negotiating agreements (e.g., NDAs, vendor/supplier contracts, SaaS and service agreements)
Experience in supporting corporate governance and entity maintenance
Experience in contributing to policy development and improvements to internal processes
Experience in assisting with mergers, acquisitions, financings, and other strategic initiatives
