The Senior Corporate Counsel will be responsible for leading complex healthcare transactions and providing legal guidance to senior executives on transaction strategies and risk management.

Responsibilities

Serve as lead transactions counsel on diverse, complex healthcare transactions, including mergers, acquisitions, joint ventures, strategic affiliations, and reorganizations
Draft, negotiate, and manage comprehensive transaction documents, ensuring compliance with applicable statutes and regulations
Structure transactions to align with Providence’s priorities, proactively managing legal, regulatory, and business risks
Provide insightful advice to senior executives and internal partners on transaction strategies, risk management, and negotiation positions
Work closely with internal stakeholders from finance to operations, ensuring transactions support business objectives
Oversee legal due diligence, identifying and communicating material risks and deal-critical issues effectively
Ensure all transactions adhere to healthcare regulatory requirements, nonprofit legal obligations, and internal policies
Collaborate within the Department of Legal Affairs (DLA) to deliver consistent, effective legal advice and manage resources efficiently
Strategically manage outside counsel on major transactions, ensuring cost efficiency and support consistency
Function autonomously on highly complex contracts and transactions, handling administrative functions within DLA as assigned

Required

Juris Doctor degree from an accredited law school; active admission and license to practice law in California or Washington preferred
At least 10 years of relevant experience (some law firm experience is a plus). Transactions, commercial contracting, healthcare-related matters, and focus on mergers and acquisitions preferred
Exceptional proficiency in drafting and negotiating agreements, related to merger and acquisitions, corporate finance transactions, joint ventures, strategic alliances and internal reorganizations
Ability to assess business and legal risks, providing practical, strategic solutions in a fast-paced environment
Superior written and verbal communication skills, capable of conveying complex legal concepts to diverse audiences
Proven ability to work collaboratively within DLA and Providence, completing projects efficiently in a dynamic setting

Preferred

Active admission and license to practice law in California or Washington
Some law firm experience is a plus
Experience with entity formation, corporate finance, health care organizations, for-profit as well as non-profit transactions
