Corporate Governance Paralegal
Lawyers On Demand is currently seeking skilled applicants for a Corporate Governance Paralegal position at a highly regarded insurance provider. The role involves executing corporate documents, maintaining entity management databases, and facilitating governance best practices.
Responsibilities
Draft and execute corporate documents, board and shareholder minutes, and resolutions
Maintain entity management database—officer/director appointments and record upkeep
Prepare materials for board meetings and update the BoardVantage portal
Review governing documents and policies; draft templates
Facilitate director onboarding and training
Liaise across departments to ensure legal entity governance aligns with regulatory/risk standards
Prepare annual/quarterly reports to U.S. Secretaries of State and Bermuda Registrar of Companies
Coordinate with vendors for service-of-process filings to subsidiaries
Assist with M&A and other transactions—managing data rooms, reviewing documents, and post-close tasks
Review simple contracts (e.g., NDAs) and process them through contract management software
Qualification
Required
Minimum 5 years of corporate paralegal experience (in-house or law firm)
Proficient in MS Word, Excel, PowerPoint, Visio, Outlook, and Adobe Acrobat
Experience with board-management and entity-management systems
Excellent written and verbal communication
Strong attention to detail with the ability to interface confidently with board members and senior management globally
Organized, self-motivated, and able to work both independently and collaboratively
Preferred
Undergraduate degree preferred
