Contracts Management Attorney

Responsibilities

Review, draft, and negotiate complex contracts with a focus on technology-related vendors and service providers, including software licensing, SaaS agreements, AI tools, cybersecurity services, and data processing arrangements
Assist in the preparation and review of third-party engagement letters, including local counsel, expert, and consulting agreements
Advise on intellectual property issues in vendor agreements, including trademarks, copyright, and proprietary technology
Provide strategic legal guidance on data privacy compliance (e.g., GDPR, CCPA) and cybersecurity risk mitigation in contractual terms
Develop and maintain template agreements and standard provisions addressing technology, IP, and data security requirements
Manage contract lifecycle processes, ensuring adherence to firm policies and best practices for technology and IP-related agreements
Conduct legal research on emerging issues in AI, data protection, and technology law to inform contracting strategies
Stay current on industry trends and regulatory developments impacting technology, IP, and privacy
Liaise with internal stakeholders and external counsel on specialized technology and IP matters

Required

J.D. required
Minimum of 6 years' experience practicing law, with significant experience reviewing, drafting, and negotiating technology and IP-related contracts
Strong knowledge of intellectual property law (trademarks, copyright) and technology licensing
Familiarity with data privacy regulations and cybersecurity standards
Excellent written and verbal communication skills, with ability to explain complex legal concepts to non-lawyers
Exceptional organizational skills, attention to detail, and ability to manage multiple priorities in a fast-paced environment
High ethical standards, professionalism, and discretion
