They are seeking a Legal Counsel - Commercial to drive the commercial legal strategy that enables rapid customer expansion, structuring and negotiating complex enterprise agreements for autonomous robotics solutions.

Responsibilities

Commercial Contract Negotiations
Lead end-to-end negotiation of enterprise customer agreements, including pilot programs, deployment contracts, SaaS licenses, and multi-year service agreements
Structure complex deals involving hardware, software, and AI services across construction, energy, manufacturing, and urban operations sectors
Partner with Sales leadership to close strategic deals while protecting company interests and managing risk
Contract Management & Optimization
Draft, review, and negotiate master service agreements, statements of work, purchase orders, and related commercial documentation
Create and maintain contract templates and playbooks that enable the sales team to move quickly
Build scalable processes for contract review and approval workflows
Manage contract lifecycle from negotiation through execution, renewal, and amendment
Risk Management & Liability
Assess and mitigate commercial risks related to autonomous robotics deployments in safety-critical environments
Negotiate liability caps, indemnification provisions, insurance requirements, and limitation of liability clauses
Develop frameworks for managing product liability, service level agreements, and performance guarantees
Work with insurance brokers and risk management teams to ensure appropriate coverage
Customer-Facing Legal Advisory
Serve as trusted legal advisor to customer-facing teams on deal structure, terms, and risk trade-offs
Provide pragmatic, business-oriented legal guidance that accelerates sales cycles
Support customer security reviews, vendor due diligence, and compliance questionnaires
Interface directly with customer legal teams and outside counsel on complex negotiations
Cross-Functional Collaboration
Partner with Sales, Engineering and Product, Customer Success and Operations on commercial terms that reflect technical capabilities and operational realities
Collaborate with Finance on revenue recognition, payment terms, and billing structures
Work with Privacy and Compliance teams on data protection provisions in customer contracts
Coordinate with IP counsel on technology licensing and protection in commercial agreements
Process & Template Development
Build and refine standard contract templates for different customer segments and deployment models
Develop training materials and guidance for Sales team on contract terms and legal requirements
Create negotiation playbooks with pre-approved fallback positions and escalation criteria
Establish metrics and reporting to track contract terms, risk exposure, and negotiation outcomes

Required

Ability to be onsite; hybrid may be an option (1-3 days onsite minimum)
8+ years of relevant legal experience, with substantial focus on commercial contracts and technology transactions
In-house experience at a high-growth technology company (Series B or later) supporting enterprise sales teams
Expertise drafting and negotiating complex B2B enterprise agreements, preferably in SaaS, hardware, or technology services
Exposure to government contracts or federal procurement
Familiarity with international commercial law and cross-border transactions
Proven ability to balance legal risk with business objectives and close deals efficiently
Excellent negotiation skills with ability to advocate effectively while maintaining positive relationships
Juris Doctor (JD) from top-tier law school
