Responsibilities

Represent clients in a growing industry and have substantive responsibility with client contact working on a variety of transactions regarding the representation of sponsors and financing parties in connection with the development, acquisition, and financing of renewable energy projects
M&A work in the electricity generation and storage industry (cash equity investments, joint ventures, acquisitions/sales of portfolio of renewable of projects)
Experience and strong familiarity with drafting and negotiating term sheets, equity capital contribution agreements, partnership agreements, joint venture agreements, membership interest purchase agreements, purchase agreements, related guarantees, estoppels and other ancillary equity documents
Some familiarity with project development and project operation contracts such as EPC Contracts, Supply Agreements, Offtake Agreements, O&M Agreements
Some familiarity with common project and portfolio finance structures

Required

3-5 years of experience in the energy industry at a large law firm with a national reputation or comparable in-house counsel role
Excellent oral communication, writing, research, and analytical skills
Ability to manage deal terms throughout the process of a transaction, take ownership of projects, work effectively as a member of a team, and communicate directly with clients and third-party advisors regularly
Strong academic credentials from top-tier law school
Candidates must be admitted to and a member in good standing with the state bar in which they reside

Preferred

Experience in M&A work in the electricity generation and storage industry (cash equity investments, joint ventures, acquisitions/sales of portfolio of renewable projects)
