Ambient Enterprises is a group of industry leaders providing custom HVAC products and services. They are seeking an Assistant General Counsel to provide legal support focusing on corporate governance, commercial contracting, compliance, litigation management, and M&A transactions.

Responsibilities

Corporate Governance: Advise on board and shareholder matters, entity management, and corporate records

Commercial Contracts: Draft, review, and negotiate a wide range of agreements, including NDAs, master sales agreements, and vendor contracts

Compliance: Ensure adherence to applicable laws and regulations, including employment, privacy, and data security requirements

Litigation Management: Oversee litigation and dispute resolution, manage outside counsel, and develop strategies to mitigate risk

Mergers & Acquisition Support: Assist with due diligence, transaction documents, and integration planning for acquisitions and divestitures

Policy Development: Contribute to internal policies, contract review processes, and compliance programs

Qualification

Required

Juris Doctor (JD) from an accredited law school; admission to a state bar in good standing

7+ years of legal experience, preferably in a corporate or large law firm setting

Strong knowledge of corporate law, commercial transactions, and regulatory compliance

Excellent negotiation, drafting, and communication skills

Ability to manage multiple priorities and work collaboratively with business leaders

Preferred

Experience in M&A transactions and integration preferred

Familiarity with employment law and intellectual property matters a plus

Comfort with technology-driven contract management tools a plus
