Associate Legal Counsel

OCP North America, Inc. is an innovative organization in the agriculture sector, seeking an Associate Legal Counsel to support their Legal Department. The role focuses on managing legal and commercial activities, primarily contract law, and offers a growth opportunity for a junior lawyer in a dynamic international environment.

Farming

Responsibilities

Draft, review, and negotiate contracts and commercial agreements (supply, service agreement, procurement, MOU, licensing agreements, R&D, etc.)
Support contract lifecycle management processes, including internal review, approvals, and archiving
Conduct legal research, draft legal memos and provide guidance on commercial and regulatory matters
Assist with compliance activities, including design of operational policies, training, and risk mitigation across key areas such as antitrust, data protection, international trade controls (sanctions, export controls, customs), ethics, and related regulatory obligations
Support corporate governance and recordkeeping, including preparation of legal documentation and trackers
Support legal work related to joint ventures, strategic partnerships, acquisitions, and related due diligence
Collaborate with internal teams (Commercial, Finance, Supply Chain, Innovation) in the US and globally to address legal issues in daily operations
Liaise with external counsel where needed to support legal reviews

Required

J.D. or LL.M. degree from an accredited U.S. law school and admission to practice in at least one U.S. jurisdiction
1–3 years of legal practice experience in law firm or in-house in a global environment
Strong drafting and negotiation skills with excellent attention to detail
Understanding and experience with U.S. regulatory frameworks, commercial and contract law
Strong communication skills and ability to work cross-functionally
Comfort working in a lean team and handling multiple matters simultaneously
Strong organizational skills and ability to prioritize in a fast-paced environment
Strong commercial awareness with the ability to translate legal advice into strategic, business-focused solutions
Developing creative, practical solutions to business challenges

Preferred

Exposure to joint ventures, M&A transactions, and due diligence processes is a plus
Experience in a multinational organization, including work within a subsidiary and interaction with a parent company or global headquarters, is a strong plus
Preferred exposure to commodities, shipping, regulatory compliance, international trade
