Responsibilities

Draft, review, and negotiate corporate and commercial agreements (franchise, distribution, licensing, JV, and M&A)

Support ESOP transactions from an M&A perspective

Advise clients on international business matters and cross‑border agreements

Manage deal workstreams, filings, and closing documentation

Deliver practical, business‑focused legal counsel with timely communication

Qualification

J.D. degreeCorporate transactions experienceDrafting skillsSecond language proficiencyESOP transaction experienceClient-facing communicationNC practice

Required

J.D. from an accredited law school; admission in at least one U.S. jurisdiction

3–5 years of experience in corporate transactions (M&A, governance, or ESOP work)

Strong drafting and client‑facing communication skills

Preferred

Second language proficiency (German preferred; other languages welcome)

Experience with ESOP transactions

Familiarity with Charlotte/North Carolina practice or willingness to obtain NC admission
