Responsibilities

Represent fund sponsors and investors in the formation of private investment funds

Draft and negotiate fund documentation, including limited partnership agreements, subscription documents, and side letters

Advise on sponsor-level transactions involving general partner and management company entities

Handle secondary transactions involving limited partner and/or portfolio company interests

Support clients through regulatory, structuring, and operational considerations related to private funds

Collaborate with senior attorneys to manage transactions from formation through closing
