Assistant General Counsel

They are seeking a highly skilled Securities Lawyer to join their legal team in the US, ensuring compliance with US securities laws and guiding leadership through complex regulatory obligations.

Responsibilities

Oversee preparation, review, and filing of all SEC reports (10-K, 10-Q, 8-K, proxy statements), ensuring accuracy and timeliness
Manage and provide guidance on Section 16 reporting for directors and officers, including Forms 3, 4, and 5
Advise the Board and senior executives on governance best practices; maintain and update corporate policies and charters
Support equity/debt offerings, M&A activities, and related due diligence; provide securities law advice on financing strategies
Support the General Counsel in preparing for Board of Directors and Committee meetings, including drafting agendas, resolutions, and meeting minutes
Oversee compliance with Nasdaq listing standards and counsel on disclosure obligations, investor communications, and insider trading policies
Oversee and manage the legal aspects of the company’s equity-based compensation plans and executive compensation matters
Partner with Finance, Treasury, HR and Compliance teams to align legal strategy with business goals
Performing additional duties and special projects as assigned

Required

Juris Doctor (J.D.) degree from an accredited law school
Active license in good standing with the bar in at least one U.S. state
7+ years of relevant legal experience
Demonstrated expertise in U.S. securities law, corporate governance, and corporate transactions (M&A, financing)
Extensive experience drafting and reviewing SEC filings
Exceptional legal judgment, analytical skills, and attention to detail
Outstanding written and verbal communication skills, with the ability to translate complex legal issues for non-legal business stakeholders
Strong organizational skills and the ability to manage multiple projects and competing deadlines in a fast-paced environment
High degree of professionalism, integrity, and ethical standards
Ability to work both independently and collaboratively with cross-functional teams

Preferred

Combination of law firm and in-house public company experience strongly preferred
