Walmart Inc. is seeking a business-oriented Counsel to support their global technology and AI acceleration initiatives. This role focuses on providing legal guidance related to data, privacy, AI/ML, and emerging technologies, while helping internal teams mitigate risks associated with new products and markets.

Responsibilities
Structure, draft and negotiate complex technology agreements, including cloud services (IaaS, PaaS, SaaS), AI licensing, data-sharing, technology partnership, data processing (DPAs), and data transfer agreements
Ensure all contracts meet data protection requirements and reflect accurate implementation, security, and legal obligations
Lead negotiations with internal and external parties to finalize contract terms including provisions related to data sharing, processing, and transfer
Provide product counsel by evaluating new technology features related to Walmart’s emerging technologies and AI acceleration initiatives to identify potential risks and liabilities and collaborating with internal subject matter experts and business teams to address risks within the confines of stated deadlines and objectives
Establishing standard operating procedures to determine whether new features and products are ready to launch, and to subsequently monitor effectiveness of risk-mitigation strategies over time
Ensure compliance with data privacy laws and industry standards such as CCPA, and others through contract terms and operational practices
Provide Cross-Functional collaboration with Walmart’s compliance organization and other stakeholders to align existing systems with Walmart’s evolving technology infrastructure
Qualification
Required
J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction
Law degree from an accredited law school and 4 years' experience in law
License to practice law in at least one state
Expertise in technology transactions, regulatory governance, AI governance, cybersecurity, and data privacy, with a strong ability to balance legal risk with business objectives
Strong background advising on contracts involving data processing, privacy, APIs, cloud-based platforms, AI-powered enterprise solutions, and emerging technology innovations
Demonstrated ability to assess legal risk in fast-paced environments and propose practical, business-aligned solutions
Exceptional communication skills and the ability to work collaboratively across legal, compliance, product, and engineering teams
Experience navigating large, complex organizations and building consensus across diverse stakeholder groups
A proactive mindset, with the ability to manage multiple projects and deadlines independently
Preferred
In-house counsel experience within a technology-forward organization or legal team advising on emerging technologies and AI
Deep understanding of privacy frameworks, data security protocols, AI governance, and their impact on contractual commitments in APIs, cloud-based and AI-powered platforms solutions
