In-House Corporate Counsel (Hybrid, Contract Position)

Latitude Legal is seeking an attorney with significant experience in private equity transactions and corporate governance to work on a contract basis with a private equity firm in the Bay Area. The role involves drafting and negotiating contracts, advising on compliance issues, and collaborating with various departments to ensure smooth implementation of strategies.

Responsibilities

Drafting, reviewing and negotiating commercial contracts and NDAs
Providing guidance on issues related to investment funds
Advising private equity companies on compliance with corporate policies and procedures
Preparing and/or reviewing Limited Partner Advisory Committee materials, incumbency certificates, resolutions and written consents
Reviewing marketing materials, including slide decks to ensure compliance with the law
Overseeing/managing a list of securities that a company is restricted from trading and monitoring material non-public information
Collaborating with firm/company non-legal departments to ensure a company's strategies are implemented smoothly
Overseeing compliance with investment restrictions and anti-money laundering/know your customer regulations during transactions
Preparing Section 16 filings and Form 13Gs
Experience as an associate, counsel or partner in a transactional practice group of a sophisticated corporate law firm is strongly preferred
Experience working in house with an investment fund is a must
Excellent academic credentials from an U.S. accredited law school
Licensed and in good standing in any state

Required

Significant experience handling private equity transactions
Experience working in house with an investment fund
Drafting, reviewing and negotiating commercial contracts and NDAs
Providing guidance on issues related to investment funds
