Associate General Counsel / Senior Counsel
Power Solutions International (PSI) is a leading manufacturer of emissions-certified powertrains and large gen-set packaging and enclosures. The Senior Counsel / Assistant General Counsel will work on various legal assignments, including reviewing legal documents, assisting with SEC filings, and managing pre-trial litigation needs.

Responsibilities
Review and analyze various legal documents including leases, customer agreements, vendor agreements, and confidentiality agreements
Redline drafts and provide recommendations with supporting authority on legal, liability, risk, insurance, and legal compliance issues
Assist with preparing and organizing detailed records supporting SEC filings, including the Proxy Statement, Forms 10-K, 10-Q, and 8-K, and other related securities filings
Proactively monitor PSI risk profile by building and maintaining an understanding of the Company's business, operations, and key personnel as well as existing, past, and potential legal issues to provide preliminary conflict resolution options for litigation avoidance
Assist with all aspects of pre-trial litigation needs, including drafting and responding to discovery, reviewing relevant documents, interviewing witnesses, and reviewing and revising motions and other court filings
Work cross-functionally with other departments in the organization to ensure that PSI personnel have the tools and training to be aware of, and in compliance with, the applicable laws and regulations within their fields of work
Research legal principles and precedents, consult with outside counsel, draft and execute legal documents, negotiate agreements, gather relevant, factual information and documentation using multiple sources and methods, and provide support to external counsel, other professionals, paraprofessionals, and support staff in developing solutions to legal challenges
All other duties assigned by the General Counsel or management
Qualification
Required
Juris Doctorate (J.D.) degree; Illinois bar admission
5 -15 years of experience at a law firm and/or as in-house counsel
Strong subject matter expertise in several of the following legal fields: securities law, contracts, corporate law and governance, and commercial or employment litigation
Demonstrated experience developing, drafting, and reviewing purchase and supply contracts
Preferred
Experience preparing various SEC filings and serving publicly traded companies
Understanding the legal implications of doing business globally, especially relating to supplier, customer, and regulatory issues
Business knowledge and financial acumen
Experience working in the manufacturing industry
Experience leveraging AI tools and technologies to enhance efficiency, streamline workflows, and improve outcomes
