Responsibilities

Advise on external governance trends, SEC issues, and related general legal issues

Review corporate governance documents, policies, and guidelines and recommend updates where necessary

Drafting, reviewing, and ensuring the timely satisfaction of SEC compliance and reporting obligations, including proxy statements and reports on Forms 10-K, 10-Q, S-1, S-4, and 8-K

Planning and preparing for annual shareholder meetings, drafting and reviewing Board/Committee minutes and resolutions

Required

Minimum 6 years of public company securities and general corporate work in-house or at a law firm

Current active bar license and in good standing with the state of issuance

Preferred

Experience with bylaws, board minutes, SEC disclosures, and proxy statements - strong shareholder and board management/disclosure experience preferred

Experience with governance-centric needs like risk management, strategic planning, and compliance and ethics is a plus
