Responsibilities

Collaborate with clients to develop and execute transaction strategies aligned with their business objectives
Assist in and manage all phases of M&A and investment transactions, including structuring, due diligence, negotiation, drafting, execution, closing, and post-closing integration
Draft and negotiate definitive transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements
Conduct and manage legal due diligence reviews and summarize findings for deal teams and clients
Analyze legal, regulatory, and competitive considerations affecting transactions across a variety of industries
Advise clients on corporate governance and general corporate matters
Interact directly with business executives, investors, and other transaction stakeholders
Work collaboratively as part of a high-performing deal team, with increasing responsibility as experience grows

Required

1–8 years of relevant experience in corporate transactions, with a strong interest in mergers and acquisitions
Admission to practice law in Nebraska, or current eligibility for admission
Experience drafting and negotiating transactional documents
Experience with M&A due diligence processes
Excellent academic credentials
Ability to clearly and concisely communicate complex legal concepts in both written and oral form
Strong work ethic, attention to detail, and a proactive approach to learning and responsibility
Ability to identify and analyze legal and business risks in transactional matters
Effective analytical skills and the ability to work collaboratively in a fast-paced team environment
