Responsibilities

Lead the drafting and negotiation of strategic commercial agreements, with a primary focus on enterprise-level outbound commercial agreements, and supporting agreements, such as DPAs and security addendums, as well as channel partner agreements (distributors, resellers, technology alliances) and strategic technology partner agreements

Collaborate with cross-functional stakeholders, including Deal Desk, Information Security, Product and Sales Operations to drive the commercial contract review and approval process

Supervise, mentor and develop junior attorneys and legal professionals, fostering professional development and ensuring high-quality legal work

Develop, maintain, and enhance contract templates, fallback positions, and negotiation playbooks

Support and manage a variety of other projects, as needed

Required

BA/BS and Juris Doctor (JD) required; licensed to practice in at least one U.S. state

10+ years of experience in-house, at a law firm, or a combination of both, with a proven track record of directly supporting a sales organization drafting and negotiating complex outbound commercial agreements, as well as significant experience with channel and reseller programs

Demonstrated knowledge of IP, data protection, and regulatory frameworks

Excellent legal and business judgment with the ability to quickly assess material risks and find workable solutions, as well as strong problem solving, project management and process optimization skills

Strong communication, negotiation, and drafting skills, with the ability to translate complex technical and legal concepts into practical business guidance

Ability to work independently, manage competing priorities, and build productive relationships across a global organization

Sense of humor, highly responsive, collaborative and service oriented
