Legal Counsel - Corporate
Perrigo is a leading player in the European Consumer Self-Care market and the largest U.S. store brand provider of over-the-counter products. The Legal Counsel - Corporate will provide strategic legal counsel across various areas, including Corporate Finance and Governance, while supporting the Deputy General Counsel with a focus on SEC regulations and corporate legal issues.

Responsibilities
Assist in quarterly review of 10-Qs and annual 10-K review, including related issues such as materiality, risk factor updates, and disclosure trends
Assess 8-K filing requirements and prepare 8-K reports when needed
Provide Investor Relations support, including review of draft press releases, IR slides, earnings call scripts, and Q&A
Advise on non-GAAP issues and Reg G requirements
Advise on insider trading issues, including 10b5-1 trading plans, blackout windows, and pre-clearance issues
Advise on Section 16 issues and related D&O issues
Support with ongoing compliance with NYSE listing requirements
Support in annual proxy statement updates
Together with a Legal Analyst, assist in preparing for quarterly Board meetings, including drafting agendas, memos, resolutions, and draft minutes
Assist in managing and updating the company’s governance policies
Assist in planning and executing the Annual General Meeting
Monitor updates in corporate governance topics and prepare quarterly governance updates
Assist in advising on corporate governance matters and relevant legal updates in both the US and Ireland
Prepare and coordinate training materials for Director Education for quarterly Board meetings
Provide support on an as needed basis, working with M&A legal team and Deputy General Counsel, including assisting with diligence, transaction agreements, carveout and integration activities, and regulatory filings
Provide legal guidance on tax & treasury matters, including financing activities; M&A-related tax structuring; and domestic and international tax matters
Provide legal support on a broad range of general corporate matters, including entity management, corporate compliance, and other day-to-day corporate legal issues impacting the company’s operations
Qualification
Required
A qualified and licensed attorney
Typically 5-8+ years of legal experience working with US publicly traded companies, preferably with a combination of law firm and in-house experience
The ideal candidate will have a proven track record of supporting a public company
Demonstrated ability to manage senior executive relations and ability to collaborate and build relations with stakeholders across functional and organizational lines
Strong understanding of relevant laws and regulations governing the industry, combined with an ability to explain complex legal concepts in simple, actionable terms to stakeholders located in different jurisdictions
Strong strategic thinking and business acumen, with the ability to balance legal considerations with business objectives
Exceptional leadership, interpersonal and communication skills, including well-developed interpersonal skills and strong written communication skills
Discretion and Integrity – the ability to handle sensitive information with the highest level of confidentiality and ethics
Project management skills – the ability to manage multiple legal matters and deadlines
Preferred
Admission to practice law in a US jurisdiction preferred
Familiarity with legal tech tools is also a bonus
