Responsibilities

Direct experience in corporate and private equity tax matters, including but not limited to: research and assessment of complicated federal tax issues involving entity formation, deal structuring, M&A, and contracts

Lead tax due diligence processes

Plan, structure, review and negotiate transaction documents including purchase agreements and disclosure schedules

Model transaction and ancillary scenarios

Evaluate potential acquisition structures

Provide tax advice and support to clients and their legal advisors

Conduct legal research and apply tax law to numbers and modeling

Keep apprised of issues relevant to the accounting industry as well as federal, state and local tax laws

Monitor emerging tax issues that could impact clients, such as private equity firms

Perform special projects assigned

Required

10+ years of U.S. corporate income tax experience in a legal capacity preferably with a major law firm, CPA firm or tax department of a major corporation

Experience reviewing documents for corporate governance as well as external contracts

Excellent analytical and problem solving skills

Strong accounting knowledge and Excel modeling skills

Strong research skills

Superior verbal and written communication skills

Ability to handle multiple projects at one time

Strong attention to detail

Ability to work independently and in a fast paced and challenging team environment
