Draft, review, and negotiate complex transactional documents (contracts, operating agreements, fund docs, credit agreements)
Manage M&A and finance transactions from diligence through closing
Advise clients on entity structuring, risk, and regulatory matters
Work closely with cross-functional legal teams and external stakeholders
For senior attorneys: lead negotiations, manage client relationships, and contribute to business development
Qualification
Required
JD from an accredited law school
3–8+ years (Associate/Counsel) of experience in corporate, finance, funds, or M&A practice, 8+ Partner Level
Strong drafting, analytical, and deal management skills
Comfortable interfacing directly with clients, investors, or counterparties
Preferred
Portable book of business preferred, but not always required
