20+ years expHH Law Firm is seeking a General Counsel who will serve as the company's highest legal representative and strategic advisor to management and the board of directors. The role involves overseeing legal affairs, compliance, risk management, and supporting the company's strategic development while ensuring adherence to legal and regulatory requirements.
Law Practice
Responsibilities
Formulate and implement the company's overall legal and compliance strategy to support the company's long-term development goals
Serve as legal counsel to the Board of Directors and senior management, participating in major decision-making discussions
Support the construction of the company's governance structure and participate in legal matters related to the Board of Directors and shareholders' meetings
Supervise and approve the company's major contracts, transaction documents, and legal texts
Participate in major business negotiations, investments, mergers and acquisitions, joint ventures, and strategic cooperation projects
Ensure that business arrangements are executable and controllable from a legal, compliance, and risk perspective
Establish and improve the company's compliance management system, internal control system, and risk prevention and control mechanism
Supervise the company's compliance with applicable laws, regulations, regulatory requirements, and industry standards
Identify, assess, and manage the company's major legal and compliance risks
Overall Department Handling company litigation, arbitration, investigations, and major disputes
Developing and implementing dispute resolution strategies, controlling legal costs and reputational risks
Providing emergency response and legal support in the event of unexpected legal or compliance incidents
Leading and building an efficient legal team, clearly defining responsibilities and performance goals
Managing and coordinating external law firms, consultants, and other professional institutions
Controlling the legal budget and improving the efficiency of legal resource utilization
Listed Companies: Information disclosure compliance, regulatory communication, securities compliance management
Multinational Corporations: Cross-border transactions, international compliance, data protection and export control
Financial/Technology Companies: Regulatory compliance, risk control system, data and privacy protection
Qualification
Required
Bachelor of Law or above
Possessing a lawyer's license or equivalent legal professional qualification
20 1+ years of legal practice experience, including management experience
Familiar with company law, contract law, mergers and acquisitions law, labor law, and relevant regulatory provisions
Possesses excellent business acumen and strategic thinking
Possesses strong professional ethics, judgment, and confidentiality awareness
High level of legal professional judgment
Excellent risk identification and control capabilities
Excellent communication, negotiation, and decision support skills
Able to handle complex issues under pressure
Preferred
Master's degree or overseas degree
