The role involves working collaboratively on teams serving sophisticated, national clients on dynamic and fast-paced transactions related to corporate governance, mergers and acquisitions, and private equity investments.

Responsibilities
Experience leading, managing, or substantially contributing to mergers and acquisitions, or private equity investment / leveraged buyout transactions, and/or capital markets transactions is required
Additional experience with respect to corporate governance matters, venture capital investment transactions, private offerings of equity and/or debt securities, and/or providing advice with respect to Forms 10-K, 10-Q and 8-K filings and proxy statements is preferred, but not required
Candidates should be prepared to work collaboratively on teams serving sophisticated, national clients on dynamic and fast-paced transactions
Qualification
Required
Active Minnesota attorney license required
Three to five years of relevant experience
Excellent academic credentials

Strong communication skills
Experience leading, managing, or substantially contributing to mergers and acquisitions, or private equity investment / leveraged buyout transactions, and/or capital markets transactions

Experience with private offerings of equity and/or debt securities
Experience providing advice with respect to Forms 10-K, 10-Q and 8-K filings and proxy statements
