Responsibilities
You will work with partners and senior associates on a wide range of sophisticated transactions, including:
Public capital markets offerings, including IPOs, follow-ons, and ATM facilities
Private financings such as PIPEs and venture-backed rounds
Public company reporting and compliance under the Exchange Act, including Forms 10-K, 10-Q, and 8-K
Public and private M&A, including structured and product-driven transactions, earnouts, spin-outs, and asset deals
Ongoing strategic advice to life sciences companies and dedicated healthcare funds
Qualification
Required
JD class years 2018–2022
Meaningful experience representing life sciences companies or healthcare investment funds
Strong exposure to capital markets transactions and public company work
M&A experience, including structured or non-traditional deal mechanics
Admitted in California or able to gain admission promptly
Comfortable taking ownership of deals and interfacing directly with clients and counterparties
