Responsibilities

Work closely with one founding partner on a steady flow of M&A transactions, including asset and stock acquisitions, divestitures, reorganizations, and related diligence and execution matters

Take real ownership of transactions from structuring through closing

Manage key workstreams

Draft and negotiate core documents

Interact directly with clients and counterparties

Drafting and negotiating purchase agreements, operating and shareholder agreements, joint ventures, and commercial contracts

Advising clients on governance and corporate lifecycle issues

Required

Six to eight years of experience in Corporate M&A

New Jersey Bar admission

Experience with M&A transactions, including asset and stock acquisitions, divestitures, reorganizations, and related diligence and execution matters

Experience managing key workstreams

Direct interaction with clients and counterparties

Experience with general corporate matters such as drafting and negotiating purchase agreements, operating and shareholder agreements, joint ventures, and commercial contracts

Ability to advise clients on governance and corporate lifecycle issues

Initiative and desire to grow into a trusted business advisor
