Required

Prior public company board experience strongly preferred (ideally financial services, fintech, payments, lending, banking, insurance, or capital markets)
Demonstrated understanding of fiduciary duties, board dynamics, and enterprise oversight
Experience serving on, chairing, or materially contributing to key committees (Audit, Risk, Technology/Cyber, Compliance, Compensation, or Governance)
Senior executive experience (C-suite or equivalent) within a regulated financial institution or scaled fintech operating under bank partner, state, federal, or multi-jurisdictional oversight
Fluency in enterprise risk management (ERM), compliance frameworks, model risk, consumer protection, and operational resilience
Ability to evaluate and challenge management on controls, remediation plans, examination readiness, and governance maturity
Track record of shaping strategy through growth, transformation, or business model evolution (organic growth, partnerships, M&A, or platform scale)
Strong judgment around capital allocation, unit economics, pricing, and profitability levers
Ability to assess product strategy, distribution, and competitive positioning in dynamic markets
Board-level capability to oversee technology risk and enablement, including: Cybersecurity, incident response, and resilience; Cloud modernization and third-party risk; Data governance, privacy, and AI/ML governance (as applicable)
Comfort engaging with technical and non-technical stakeholders to drive clear oversight and accountability
Executive maturity and independence of thought; willingness to challenge constructively
Reputation for integrity, sound judgment, and principled governance
Strong communication skills and the ability to collaborate effectively with diverse board and management stakeholders
Must qualify as an independent director under applicable exchange and governance standards
No material conflicts of interest or competitive entanglements that would impair independence
Ability to meet expected time commitments, including board meetings, committee work, and periodic ad hoc engagement (e.g., strategic sessions or risk deep dives)

Public company CFO, CRO, COO, CIO/CTO, CISO, General Counsel, Chief Compliance Officer, or Head of Audit
Payments, issuer/acquirer ecosystems, lending/credit risk, fraud, AML/BSA, or consumer financial products
Scaled platform businesses (B2B2C, embedded finance, marketplace distribution)
M&A integration, divestitures, or turnaround/stabilization in regulated settings
