Responsibilities
Leading legal due diligence on multi-billion-dollar deals — spotting risks, value drivers, and deal issues early
Drafting and negotiating ancillary agreements (disclosure schedules, ancillary docs, transition services, employment matters, etc.)
Taking ownership of significant transaction workstreams from kickoff through closing
Working across the full spectrum of M&A — public & private acquisitions, carve-outs, strategic mergers, PE buyouts, and joint ventures
Collaborating closely with top partners and cross-practice teams (antitrust, tax, IP, finance) on integrated, fast-moving matters
Qualification
Required
2 to 3 years of solid M&A experience in a top law firm (ample hands-on diligence and drafting required)
Strong familiarity with all core aspects of transactions — you know how deals flow and what makes them tick
Excellent academic credentials and sharp analytical/writing skills
Admitted to the California Bar (or immediately admissible)
