Responsibilities
Lead drafting and negotiation of core fund documents: limited partnership agreements (LPAs), private placement memoranda (PPMs), subscription agreements, side letters, and management company documents
Structure funds across strategies including private equity, venture capital, credit, real assets, infrastructure, and special situations
Advise on regulatory and compliance matters (SEC registration/exemptions, Investment Advisers Act, marketing rules, ERISA considerations for plan investors)
Handle investor negotiations, side letter management, and closing processes for first-time and established sponsors
Coordinate with tax, regulatory, finance, and corporate teams on integrated fund launches, continuations, and secondaries
Take increasing ownership of deals and client relationships as you progress
Qualification
Required
3–5 years of relevant experience in private investment fund formation (sponsor-side preferred; strong fund regulatory or operations experience considered)
Solid familiarity with current market precedents, LP/GP dynamics, and evolving fund terms
Excellent academic credentials (top law school + strong law firm background)
Admitted in New York (or immediately admissible; other major bars considered)
Detail-oriented, commercially minded, and comfortable managing fast-moving, high-stakes transactions
Team player who thrives in a collaborative, flat-structured environment
