Responsibilities
Advising on the tax aspects of major M&A transactions (public and private, domestic and cross-border)
Structuring joint ventures, carve-outs, financings, and capital markets offerings
Counseling private equity sponsors and portfolio companies on acquisition, disposition, and fund-level tax issues
Handling tax-efficient restructurings, IPOs, and post-transaction integration planning
Collaborating closely with corporate, finance, and funds partners on fully integrated deal teams
Qualification
Required
2 to 4 years of substantial transactional tax experience, with a strong emphasis on M&A tax (BigLaw preferred)
Deep knowledge of U.S. federal income tax principles as applied to corporate and partnership transactions
Excellent academic credentials and strong analytical/writing skills
Admitted to the New York Bar
Team-oriented, commercially minded, and excited to work on market-leading matters
