Responsibilities

Draft, review, and negotiate contracts with state, federal, and private customers, ensuring compliance with company policies and approved modifications
Develop and maintain a working knowledge of company products, customers, and policies to guide negotiations for agreements such as Master Agreements, Purchase/Rental Agreements, SaaS and DaaS agreements, Software Licensing, Support Services, HIPAA/BAA, Data Security, and related amendments
Identify and analyze technical, operational, legal, and financial issues; communicate findings clearly to enable informed decisions
Summarize transaction-specific concerns for escalation to senior stakeholders and legal counsel
Collaborate with cross-functional teams (Regulatory, Risk Management, Accounting, Marketing, etc.) to support template development and continuous improvement initiatives
Maintain high standards of accuracy, timeliness, and professionalism in all deliverables

Required

Licensed attorney with minimum 3 years of experience, or J.D. with minimum 4 years' experience, in commercial contracting and negotiation within healthcare or med tech
Prior work experience with regulated medical devices or hardware/software agreements
Experience with contract lifecycle management systems
RFP/government contracts experience
Understanding of data protection laws
Strong knowledge of contract law, compliance frameworks (HIPAA, data protection), and healthcare information security
Excellent writing, negotiation, and interpersonal skills
