Responsibilities
Advise public companies on executive compensation and employee benefits matters
Support employee compensation considerations for capital markets transactions
Assist with SEC compliance and reporting obligations, including preparing proxy statements and equity plan proposals on Schedule 14A, annual reports on Form 10-K, quarterly reports on Form 10-Q, and periodic reports on Form 8-K as they relate to executive compensation
Draft and review executive employment and severance arrangements
Counsel on tax-qualified and nonqualified retirement plans
Design and implement equity and non-equity incentive plans
Qualification
Required
Previous law firm experience required; Am Law 200, leading regional, or major boutique firm experience preferred
Minimum of 6 years of experience in executive compensation and employee benefits matters
Significant experience working with public companies (ideally at least 50% of work)
Strong academic credentials and excellent communication skills
Ability to work independently and collaboratively as part of a team
Preferred
Experience assisting public companies with SEC compliance and reporting obligations
Familiarity with employee compensation considerations in capital markets transactions
Demonstrated ability to manage client relationships and handle complex matters
