The role involves leading due diligence, managing closing processes, and collaborating with external vendors to ensure efficient transactions.

Responsibilities
Lead and manage due diligence activities including conducting UCC, litigation, and intellectual property searches, and reviewing results
Oversee corporate governance and entity management functions, from preparing and filing documents for entity formation and amendments to ensuring compliance with regulations such as the Corporate Transparency Act
Administer entity and stock records on platforms such as Carta, Fidelity, and Global Shares
Support securities and Blue Sky filings, assist with securities registration, and manage documentation for equity transactions
Coordinate all aspects of closing processes, including preparing collateral descriptions, UCC filings, execution of closing documents, and post-closing administration
Collaborate closely with internal teams and external vendors, maintaining strict confidentiality and adherence to firm standards
Qualification
Required
A minimum of 8-10 years of transactional paralegal experience in a law firm or in-house counsel is preferable
Strong project management skills with the ability to independently oversee tasks, ensuring timely completion and adherence to project deadlines
Ability to manage multiple projects with shifting priorities while working efficiently in a fast-paced environment
Experience with diligence search parameters
Knowledge and experience with vendor UCC filing platforms and e-filing
Excellent spelling, grammar, and punctuation skills
Ability to work overtime, evenings, and weekends, as needed
A high school diploma or equivalent is required, plus substantial and relevant work experience
An ABA-approved paralegal certification is required
Must have proficiency in Windows 10, Microsoft Outlook, Excel, PowerPoint, Adobe Acrobat Professional, Zoom, and Teams
Must be able to quickly learn new skills and systems
Preferred
A bachelor's degree is preferred
