Albertsons Companies is seeking an experienced Senior Counsel, Corporate & Securities to join their legal team. This role involves ensuring compliance with corporate and securities laws, preparing SEC reports, and supporting corporate governance and strategic initiatives.

Responsibilities

Ensure compliance with federal securities laws, NYSE rules, Sarbanes-Oxley, and other corporate governance regulations

Prepare and file SEC reports and disclosures, including registration statements, 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings

Develop and maintain programs and policies for securities compliance, insider trading, and Regulation FD

Monitor regulatory and governance developments and provide guidance

Support equity matters, including equity plan administration and compensation issues

Maintain corporate books and records; oversee entity management and restructuring

Strengthen disclosure controls and internal control over financial reporting

Assist with corporate development activities, including mergers and acquisitions

Manage outside counsel and oversee the legal licensing team
