Latitude Legal is partnering with a leading cybersecurity and identity-management software provider to find an experienced Contracts Paralegal or Contracts Attorney. The role involves drafting, reviewing, and negotiating complex agreements while managing the contract administration process and ensuring compliance with laws and regulations.

Responsibilities

Draft, review, and negotiate a variety of complex client and supplier agreements, including SaaS agreements, software licensing agreements, EULAs, support agreements, partner agreements, and vendor agreements

Represent the company in external negotiations with a diverse set of customers

Manage the contract administration process from inception to completion

Analyze and review contract requirements, terms, and conditions for compliance with laws and regulations

Assist in contract compliance and issue resolutions

Coordinate and partner with other internal functional disciplines

Summarize complex contractual issues, develop creative solutions, and coordinate contractual risk mitigation

Function as a liaison for contract lifecycle management and departmental coordination

Support and respond to Infosec Assessments and Questionnaires, reviewing requirements and ensuring contractual alignment with information security obligations

Required

5+ years of experience acting as the lead in negotiating, drafting, and finalizing complex SaaS, software licensing, cloud services, and other commercial and vendor agreements, with a proven track record of managing high-value or strategically important contracts

Demonstrated ability to work closely with internal teams, including sales, finance, product, and operations, to create and maintain standardized templates, assist with equitable work distribution, and develop resources and guidance to streamline contract review and negotiation processes

Familiarity with data privacy, information security and related compliance processes, with experience integrating responses and requirements into contract negotiations and risk mitigation strategies

Highly organized and process-oriented, with a proactive approach to identifying opportunities to improve legal workflows, enhance departmental efficiency, and implement scalable practices for handling contracts

Excellent written and verbal communication skills, capable of conveying complex legal concepts clearly to both legal and non-legal stakeholders

Strong service mindset with the ability to work effectively in cross-functional teams, manage competing priorities, and drive results in a fast-paced environment

Maintains the highest standards of integrity and professional judgment, with the ability to anticipate, identify, and communicate legal risks and issues to legal leadership in a timely and actionable manner
