M&A Corporate Paralegal

LHH is seeking an experienced Corporate Paralegal to join our client's Charlotte office. This full-time role offers the opportunity to work on complex corporate governance and mergers & acquisitions matters in a collaborative team environment.

Responsibilities

Assist attorneys with corporate, M&A, and other transactional functions
Draft and file incorporation and formation documents
Prepare board and stockholder consents, resolutions, and organizational documents
Maintain minute books and stock ledgers
File statutory documents including amendments, conversions, mergers, and dissolutions
Conduct lien, bankruptcy, and litigation searches
Prepare closing files, certificates, and UCC filings
Support closing and post-closing activities, including assembling binders and distributing signature pages

Required

Bachelor's degree or equivalent experience
Minimum 3 years of paralegal experience in corporate transactions and/or finance
Strong verbal and written communication skills
Ability to manage multiple matters independently and maintain a solid understanding of legal documentation
