Responsibilities
Advise sponsors on the formation and structuring of private investment funds, including: Private equity , Hedge funds, Credit fund, Real estate funds
Draft and negotiate fund documentation, including: Limited partnership agreements, Private placement memoranda, Subscription documents, Side letters
Counsel clients on regulatory and compliance matters, including Investment Advisers Act issues
Assist with fund closings and investor negotiations
Advise on fund restructurings, GP-led transactions, and secondary matters
Collaborate with tax, regulatory, and transactional teams as needed
Qualification
Required
JD from a top-tier law school
Admitted to practice in New York (or eligible for admission)
3–6 years of experience in investment funds/private funds at a leading law firm
Strong experience with private fund formation and sponsor-side representation
Ability to manage multiple matters in a fast-paced environment
