Sr Manager Executive Compensation & Equity Programs

Responsibilities
Working with the Sr Director Total Rewards, develop executive compensation programs, analyses and Compensation Committee materials
Assist with the development of the annual short-term incentive plan (AIP) including education and program administration
Partner with Legal, Finance and other stakeholders on the annual CD&A narrative as well as preparation of compensation and equity tables for public disclosure (annual proxy statement)
Conduct benchmarking, job evaluations, and market assessments to inform pay positioning and equity allocation using Radford, Aon and other life-sciences specific data sources
Prepare data for internal equity/pay equity analysis
Monitor regulatory trends, ensure compliance with Section 16, 409A and other relevant regulations, and provide insights to enhance executive pay programs
Support Total Rewards strategies, ad hoc analysis and compensation projects
Manage equity grant cycles, refresh programs and performance-based equity awards
Administer global equity and ESPP programs, including grant processing, vesting, exercises, and purchases
Monitor equity pool usage and recommend adjustments to maintain competitiveness and fiscal responsibility
Partner with finance, legal, and external vendors to ensure compliance and operational efficiency
Analyze and forecast equity usage, dilution, share pool balances, and grant strategies
Strategically identify opportunities for process improvement and improved employee experience, such as projects that enhance automation, scalability and transparency of equity operations
Act as a subject matter expert for internal stakeholders, including HR business partners, Talent Acquisition, Legal, and Finance
Build financial models to assess total compensation impact dilution, burn rate and stockholder value
Conduct scenario planning for M&A and other strategic events
Advise senior leadership on compensation philosophy and equity strategy
Educate executives on equity value, vesting and tax implications
Qualification
Required
Bachelor's degree in Finance, HR, Business or related field
7 – 10 years of progressive experience in executive compensation and equity programs, ideally within the life sciences sector (e.g., biotech, pharma, medtech)
Experience supporting public company compensation committees and preparing proxy disclosures
Deep knowledge of equity instruments and executive pay structures
Strong analytical and modeling skills (e.g., Microsoft, Equity Edge, Fidelity)
Familiarity with SEC filings, ISS/Glass Lewis guidelines and global equity taxation
Excellent communication and presentation skills for senior stakeholders and board members
Preferred
MBA or CCP (Certified Compensation Professional)
