Michigan State University is seeking an experienced professional to provide specialized support in reviewing and analyzing research-related agreements and intellectual property matters. The role involves ensuring compliance with institutional policies, federal regulations, and best practices in technology transfer and research collaborations, along with reviewing various agreements related to research collaborations.

Responsibilities
Review and analyze Confidentiality Agreements (CDAs/NDAs), Material Transfer Agreements (MTAs), and Data Use Agreements (DUAs) related to research collaborations, research tool distributions, and technology development
Review and analyze draft license, option and IIA agreements as part of MSUT’s pre-execution process
Identify legal, regulatory, and potential institutional concerns with such agreements; ensure alignment with MSU policies and federal regulations; communicate those concerns to Executive Director, MSU Technologies or designee(s)
Provide clear recommendations for agreement approval or revision (provide suggested language edits as requested)
Serve as a resource to Executive Director and designee(s) on agreement-related questions, intellectual property considerations, and data sharing protocols
Review draft policies and procedures for IP matters – provide comments to Executive Director or designee(s)
Qualification
Required
Extensive experience reviewing Material Transfer Agreements (MTA), Confidential Disclosure Agreements (CDA), Data Use Agreements (DUA), and related agreements
Strong understanding of intellectual property policies, research compliance and regulatory frameworks
Excellent communication skills
Familiarity with MSU's research environment and technology transfer processes
Proficiency with use of a computer, MS Office suite, Adobe
Excellent verbal and written communication
Critical thinking
Ability to work cooperatively within MSU Technologies and other units as needed
A minimum of 10 years' experience with research enterprise/technology transfer agreements
At least 10 years of experience with Michigan State University policies and procedures for research agreements
Bachelor's degree
Capacity to comply with federally mandated requirements of U.S. export control law
