Responsibilities
Draft and review SEC registration statements, including Form S-1 and Form S-3, for public offerings of equity and debt securities in compliance with federal securities laws
Advise issuers and underwriters on disclosure requirements under the Securities Act of 1933, ensuring accurate financial reporting and risk factor identification in prospectus filings
Negotiate engagement letters, underwriting agreements, and indemnification provisions for capital markets transactions, including IPOs and follow-on offerings
Conduct due diligence reviews for securities offerings, analyzing material contracts, litigation risks, and regulatory compliance to support offering documents
Prepare comfort letters, legal opinions, and blue sky filings to facilitate the closing of securities transactions in New York markets
Qualification
Required
Experience in IPOs, private placements, or securities filings
Ability to draft and review SEC registration statements, including Form S-1 and Form S-3
Knowledge of federal securities laws
Experience advising issuers and underwriters on disclosure requirements under the Securities Act of 1933
Ability to negotiate engagement letters, underwriting agreements, and indemnification provisions for capital markets transactions
Experience conducting due diligence reviews for securities offerings
Ability to prepare comfort letters, legal opinions, and blue sky filings
