AVP, Paralegal
Partnership Employment is seeking an AVP, Paralegal to oversee governance activities for multiple fund Boards. The role involves managing Board meetings, documenting actions, and coordinating with various stakeholders to ensure compliance and regulatory alignment.
Responsibilities
Own the end-to-end administration of governance activities for multiple fund Boards, including planning recurring meetings, organizing special sessions, and maintaining an integrated governance calendar
Assemble, review, and circulate Director materials that synthesize investment results, regulatory disclosures, compliance matters, risk topics, audit findings, and valuation considerations in advance of meetings
Ensure all Board actions are properly documented by drafting, finalizing, and archiving meeting minutes, written consents, resolutions, and related governance records in accordance with regulatory expectations
Serve as the central coordination point between Directors and internal stakeholders—including Legal, Compliance, Finance, and Investor Relations—to confirm accuracy, consistency, and regulatory alignment of all Board-facing content
Maintain ongoing relationships with Independent Directors, external legal advisors, auditors, and other third parties on matters related to Board operations and governance requirements
Design, document, and continuously improve standard operating procedures supporting Board and entity governance processes
Oversee the establishment, qualification, and ongoing maintenance of fund entities and subsidiaries across relevant jurisdictions, including stewardship of constitutional and governing documents
