Responsibilities

Drafting, reviewing, and negotiating complex M&A transaction documents, including Purchase Agreements (Stock and Asset), letters of intent, and ancillary closing documents
Conducting thorough corporate due diligence for both buy-side and sell-side transactions, including review of material contracts, corporate structure, and organizational documents
Managing and facilitating all aspects of the M&A closing process
Advising clients on general corporate governance, entity formation, and operational compliance issues
Collaborating with specialized practice groups (e.g., tax, employment, real estate) on multi-faceted transactions

Required

J.D. from an accredited law school

Demonstrated proficiency in drafting and negotiating complex corporate transaction documents
Strong analytical, writing, and communication skills
A proactive, client-focused work ethic and the ability to manage multiple complex projects simultaneously
