Responsibilities
Supporting M&A transactions from due diligence through closing and post-closing
Drafting and negotiating:
Purchase agreements and disclosure schedules
Operating agreements and governance documents
Ancillary and closing agreements
Assisting with entity selection, formation, and corporate structuring analysis
Collaborating directly with partners, senior associates, clients, and opposing counsel
Conducting legal research and preparing memos related to deal structure, risk allocation, and regulatory considerations
Managing timelines, coordinating workstreams, and helping move transactions forward efficiently
Participating in firm-sponsored pro bono and community initiatives
Qualification
Required
1–2 years of experience in corporate or M&A work
Strong drafting, organizational, and analytical skills
Interest in building a long-term career within a collaborative corporate practice
Comfort working in fast-paced deal environments with tight timelines
