Legal- Senior Counsel (FT/PT Available)
Medlytix is a fast-growing company in the healthcare and technology sector, seeking a Senior Counsel to manage customer and vendor contracts. The ideal candidate will have strong contract drafting and negotiation skills, particularly in the context of IT/IP and privacy, while also providing limited legal support for corporate matters.
Responsibilities
Customer Contract Management
Draft, review, negotiate, and manage customer contracts including MSAs, SOWs, BAAs, NDAs, and reseller/partner agreements
Understand and help coordinate proper allocation of risk, liability, indemnity, insurance requirements, IP ownership, privacy, data rights, and service-level obligations
Help develop, maintain and continuously improve templates
Understand and help coordinate compliance with regulatory and industry requirements, including privacy, security, and HIPAA standards
Procurement & Vendor Contracting
Review vendor agreements, including procurement and technology services contracts
Collaborate with internal stakeholders to structure agreements that support commercial, risk, and operational objectives
Ensure agreements comply with internal policies and applicable legal and regulatory requirements
Technology Contracts
Draft, review, negotiate and manage "inbound" technology-related agreements including SaaS, data provider agreements, licensing, development, and AI-related agreements
Address intellectual property, confidentiality, and data-use rights
Negotiate performance warranties and SLAs
Help support and coordinate cybersecurity requirements, and breach-response provisions
Understand and help coordinate appropriate allocation of risk, liability, indemnification, insurance requirements, and regulatory compliance
Limited General Corporate Legal Support
Provide basic support for routine corporate legal matters, including standard documents, policy updates, and operational legal questions
Excludes corporate governance, equity and ownership matters, and corporate finance generally
Qualification
Required
Law degree with focus on business/commercial, IT/IP, and/or healthcare in curriculum or later experience
5+ years of experience in 'hands-on,' direct-to-client contract management, including customer contracts (MSA, SOW, BAA, NDA) and procurement agreements
Familiarity with healthcare regulations (HIPAA, data protection/privacy laws, etc.), with the ability to work alongside others for specialized compliance issues
Strong attention to detail, excellent organizational skills, and the ability to manage multiple projects simultaneously and independently
Proven ability to negotiate contracts and build strong relationships with internal teams and external stakeholders
Excellent written and verbal communication skills
Preferred
Knowledge of vendor/provider healthcare business and/or familiarity with insurance payment structures
