Senior Paralegal

Senior Management

Responsibilities

Perform corporate governance and entity management activities for domestic and international subsidiaries, including reporting, consents, resolutions, officer and director updates, state filings, formations, and dissolutions
Obtain signatures for corporate documents both in person and via e-signature platforms
Maintain and ensure accuracy of the entity management database ( GEMS )
Provide general paralegal support to attorneys and assist with related duties as needed
Support Client entity reporting, including FRY-10 reporting and annual FRY-6 confirmation processes
Coordinate with third-party service providers, including CSC, for state filings and entity management services
Maintain and update a library of pre-approved documents, templates, resolutions, and historical records
Support the Corporate Secretary with governance-related matters
Follow established policies and procedures related to entity management, corporate governance, and regulatory reporting
Promote effective work practices and collaborate as a strong team contributor
Maintain current knowledge of paralegal practices and methodologies
Perform additional duties as assigned

Required

5-7 years of paralegal experience
Strong experience with subsidiary governance management and regulatory filings
Experience supporting a Corporate Secretary's office
Strong written and verbal communication skills
Ability to work effectively in a fast-paced, high-volume environment
Strong organizational skills and attention to detail
Paralegal certificate or paralegal education required

Preferred

Financial institution or banking industry experience
